Terms of Service

Last updated: October 16, 2026

These Terms cover every Alertedly product: competitor intelligence, Investor Intelligence, Vendor Intelligence and free reports. In short: fees are non-refundable, you can cancel any time before your next renewal, output is AI-assisted research that may be wrong and is not advice, and our liability is limited. Please read the full Terms below. For anyone who accepted a previous version before October 16, 2026, these Terms take effect on November 16, 2026, and the previous version applies until then; for everyone else they apply immediately.

1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and Alertedly, based in Toronto, Ontario, Canada ("Alertedly", "we", "us", "our"). They govern your access to and use of alertedly.com and every product, report, dataset, dashboard, integration, API, MCP server and related service we provide, including competitor intelligence, Investor Intelligence, Vendor Intelligence and free reports (together, the "Service").

By creating an account, requesting a report, submitting a form, subscribing, or otherwise using the Service, you accept these Terms, and you agree that accepting them electronically is as binding as a signed contract. If you do not accept them, do not use the Service. If you use the Service on behalf of a company, fund or other organization, you confirm that you have authority to bind it, and "you" includes that organization. You must be at least 18 years old.

Business use only. The Service is offered only for business and professional purposes. By using it, you confirm that you are acting for the purposes of a business, profession or organization, and not as a consumer for personal, family or household purposes.

Any order form, quote or statement of work we agree with you forms part of these Terms. Our Privacy Policy explains how we handle personal information; it is a notice and not part of this contract.

By paying for a plan, at checkout or on renewal, you accept these Terms and our Privacy Policy.

2. The Service

Alertedly provides business intelligence compiled from publicly available information, including:

  • Competitor intelligence: recurring reports, alerts and signals about the companies you choose to track.
  • Investor Intelligence: monitoring, signals, reports and related tools covering a firm's portfolio, dealflow and other companies of interest.
  • Vendor Intelligence: lists, classifications and market maps of organizations, together with our assessment of the tools or providers they appear to use.
  • Free reports and samples: one-off reports or previews we may offer without a subscription.

The Service may be delivered by email, in the dashboard, as audio, in Slack, through connected CRMs, through AI assistants connected over MCP, through our API or webhooks, or in exported files. The sources we use, how often we check them, what we report on and how we present it are determined by us and may vary between companies, plans and weeks. Some periods will have no new information for a given company or source.

We may add, change, suspend or discontinue any part of the Service, including any feature, source, channel, integration or plan, at any time and without liability to you, subject to the price-change notice in the section on fees and to the section on suspension and termination below. Plan descriptions on our website are a general guide and are not a commitment to any particular source, coverage level or volume of results.

3. Accounts and workspaces

  • You must give us accurate, complete information and keep it up to date.
  • You are responsible for keeping your sign-in details and API keys secure, and for all activity under your account and your keys, whether or not you authorized it.
  • Tell us promptly at contact@alertedly.com if you believe your account or a key has been compromised.
  • On team and firm plans, your administrators control who has access, their roles and your organization's keys and integrations. You are responsible for your users' compliance with these Terms.
  • We may refuse, suspend or close any account at our discretion, including where we suspect fraud or misuse.
  • We may monitor use of the Service to operate and secure it and to check compliance with these Terms. Support is provided at our discretion unless an order form says otherwise.

4. Fees, renewal and cancellation

  • Fees. Fees are as shown on our pricing page at the time you subscribe, or as set out in your order form or quote. Fees are payable in advance and exclude taxes, which you are responsible for and which we will add where required.
  • Automatic renewal. Subscriptions renew automatically for successive periods of the same length (monthly or annual, as chosen at checkout, unless agreed otherwise), and you authorize us and our payment processor to charge your payment method on each renewal, until you cancel.
  • Cancellation. You may cancel at any time through the billing portal in your dashboard or by emailing us. Cancellation takes effect at the end of the current billing period. You keep access until then, and no further renewals are charged.
  • Plan changes. Upgrades take effect immediately. Downgrades apply from your next billing period; if you track more companies than the new plan allows, you will need to remove some.
  • Price changes. We may change our prices. We will give you at least 30 days' notice before a price change applies to your subscription; if you do not agree, you may cancel before it takes effect.
  • Late or failed payment. If a payment fails or is overdue, we may suspend or limit the Service until it is paid in full. Overdue amounts bear simple interest at 1.5% per month (18% per year), or the highest rate permitted by law if lower, and you will pay our reasonable costs of collection, including legal fees.
  • Free and trial access. Free reports, samples and trials are provided at our discretion, may be limited or withdrawn at any time, and may be declined if a request looks automated, duplicated or abusive.

Current plans.

  • Startup Starter: US$199 per month or US$2,189 per year, up to 10 tracked companies.
  • Startup Pro: US$399 per month or US$4,389 per year, up to 25 tracked companies, every channel, Slack delivery, audio summaries in Slack, and REST API access.
  • VC Portfolio: US$999 per month or US$10,789.20 per year, up to 50 tracked companies, unlimited seats for your firm.
  • VC Enterprise: custom pricing for firms tracking more than 50 companies, agreed in writing with us. Talk to us.

Every plan includes MCP access for AI assistants. The current features of each plan are listed on our pricing page.

Custom engagements, including VC Enterprise and Vendor Intelligence plans, follow the commercial terms in the applicable order form or quote where they differ from this section.

5. No refunds

All fees are non-refundable. We do not provide refunds, credits or pro-rated amounts for any reason, including partial billing periods, unused companies, seats or features, downgrades, periods with little or no new activity, dissatisfaction with the content of a report, dataset or list, failure to cancel before a renewal, or suspension or termination for breach of these Terms.

The only exceptions are a refund expressly described in the section on termination below, or one that applicable law requires and that cannot be excluded by agreement.

6. Acceptable use

You agree not to, and not to allow anyone else to:

  • resell, sublicense, redistribute, publish or commercially exploit the Service or its output (using output for your own internal business purposes as these Terms permit is allowed), or use the Service or its output to build, train or improve a product, dataset or model that competes with Alertedly;
  • copy, crawl, harvest or bulk-download the Service, or access it by automated means other than our API and MCP server used as documented and within their limits;
  • reverse engineer the Service, or attempt to discover our sources, providers, methods, prompts, models or classification logic;
  • get around plan limits, rate limits or usage quotas, including by opening multiple accounts or requesting repeated free reports;
  • share your account or API keys outside your organization, or expose keys in public code;
  • use the Service to research, profile, track or target private individuals, or to harass, stalk or discriminate against anyone;
  • use any output, including Vendor Intelligence lists, to send unsolicited messages in breach of anti-spam, marketing or privacy laws;
  • probe, test or breach the security of the Service or interfere with it (report vulnerabilities to security@alertedly.com);
  • use the Service in breach of any law or third-party right, including privacy, competition, securities, trade secret and export laws.

You may share output within your organization and with your professional advisors for your internal business purposes. VC firms may also share portfolio reports and briefs with the relevant portfolio company. You are responsible for anyone you share output with.

7. Information may be inaccurate: no advice

The Service is generated with the help of automated systems and artificial intelligence, from public sources that we do not control. Output may be incomplete, inaccurate, out of date, misattributed or misinterpreted, and the underlying sources may themselves be wrong. Classifications, scores, signals, summaries, estimates and assessments (including whether an organization appears to use a particular tool or provider) are inferences, not verified facts. We do not guarantee that any event, change or activity will be detected, or detected in time.

The Service is general business information only. It is not investment, financial, legal, tax, accounting or other professional advice, and it is not due diligence. Nothing in the Service is a recommendation to buy, sell or hold any security, to invest in, fund, partner with or contact any company, or to rely on any lead. We make no promise about the commercial results you will achieve, including deals, sales, pipeline or returns.

We do not warrant that output is fit for your particular purpose, that it is protected by intellectual property rights, or that it does not include third-party material. You are solely responsible for evaluating output for your use, for verifying anything important, and for every decision you make and action you take using the Service. We have no obligation to correct or update output after it is delivered.

8. Data

Your Inputs. "Inputs" means information you or your users provide to the Service, such as account details, the companies you track, lists you upload or import, settings, and questions you ask. You are solely responsible for the accuracy, quality and legality of your Inputs. You represent and warrant that you have all rights, consents and permissions needed to provide them and to let us use them under these Terms, and that neither your Inputs nor our use of them will infringe anyone's rights, breach any law or contain malicious code. You grant Alertedly a worldwide, royalty-free, perpetual and irrevocable license to host, copy, process, analyze, modify and use Inputs to provide, maintain, secure, improve and develop the Service and our other products and services. Despite the license above, personal information that we handle on your behalf, such as records imported from your CRM, is used only to provide the Service to you and as described in our Privacy Policy.

Service Data. All research, reports, signals, classifications, datasets, metrics, historical records and other content we create or compile (other than your Inputs), and all data about how the Service is used, are "Service Data". Service Data is owned by Alertedly, and we may use it for any lawful purpose, subject to our Privacy Policy for personal information and to the confidentiality commitment below.

Aggregated and de-identified data. We may create aggregated, anonymized or de-identified data from Inputs and Service Data, and we own that data and may use, commercialize and disclose it for any lawful purpose, during and after your subscription, provided it does not identify you or your users.

Retention. We may retain Inputs and Service Data, including reports and research history, after your subscription ends or your account is closed, for as long as we consider appropriate for our legitimate business purposes, subject to our Privacy Policy for personal information. We have no obligation to store, return or export data for you, so save anything you need before you cancel.

Confidentiality. We will not publicly disclose, or disclose to other customers, that you track a particular company, except to our service providers, professional advisors, affiliates, or an actual or prospective successor to our business, in each case bound by confidentiality; as required by law; or with your permission.

9. Intellectual property

Alertedly and its licensors own all rights in the Service, Service Data, software, designs, databases, methods and know-how, including all improvements, whether or not based on your feedback or use. Our non-public sources, methods, prompts and technology are our confidential information. No rights are granted to you except as stated in these Terms.

While your subscription is active and you comply with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the output delivered to you for your internal business purposes. Output you lawfully downloaded may continue to be used internally after your subscription ends, subject to these Terms.

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose, without attribution or any obligation to you.

Customer name and logo. You grant Alertedly a non-exclusive, worldwide, royalty-free license to use your name, trademarks and logos to identify you as a customer in our marketing and promotional materials, including our website, sales presentations, proposals and social media, for as long as you are a customer. We will follow any reasonable trademark usage guidelines you give us in writing. Materials published while you are a customer do not have to be withdrawn when your subscription ends.

10. Third-party content, sources and services

The Service summarizes and links to third-party websites and content. That content, and any names, logos and trademarks shown, belong to their owners. Their appearance does not imply any endorsement or relationship.

The Service relies on third-party providers and can connect to third-party products you choose, such as Slack, CRMs and AI assistants. By connecting an account, you confirm you are entitled to give us access to it, and you authorize us to access and use its data as needed to provide the Service. Those products are governed by their own terms, and their availability is decided by their providers. We do not endorse them and are not responsible for their availability, accuracy or security, for how they handle data you send them, or for a provider changing, suspending or discontinuing them.

11. Suspension and termination

You may stop using the Service and cancel at any time as described above. We may suspend or terminate your access, in whole or part, immediately and without notice, if you breach these Terms, fail to pay, or if your use creates legal, security, reputational or operational risk for us or others. We may also terminate the Service, or any plan, for any reason on 30 days' notice.

If we terminate a paid subscription for convenience and not because of your breach or non-payment, we will refund the prepaid fees for the unused part of the current billing period; that is your sole remedy. On any termination, your license to use the Service ends (except for output you lawfully downloaded, as described in the section on intellectual property), and any fees owed become due immediately.

The sections on fees, refunds, acceptable use, accuracy, data, intellectual property, third parties, disclaimers, limitation of liability, indemnity, governing law and general terms continue after these Terms end.

12. Disclaimers

The Service and all output are provided "as is", "as available" and "with all faults". To the fullest extent permitted by law, Alertedly disclaims all warranties, representations and conditions, express, implied or statutory, including any of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, completeness, timeliness, title and non-infringement, any implied by the Sale of Goods Act (Ontario) or similar legislation, and any arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure or error-free, that defects will be corrected, or that the Service or output will meet your requirements. Where applicable law does not allow a warranty to be excluded, it is limited to the shortest period the law allows.

13. Limitation of liability

To the fullest extent permitted by law:

  • Alertedly, its affiliates, officers, employees, contractors and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill, investment or data, or for decisions made or actions taken in reliance on the Service, in each case however caused and even if advised of the possibility; and
  • Alertedly's total aggregate liability for all claims arising out of or relating to the Service or these Terms, whether in contract, tort (including negligence) or otherwise, will not exceed the fees you actually paid to Alertedly for the Service in the three months before the event giving rise to the first claim, or US$100 if you paid nothing. The existence of more than one claim does not increase this limit.

These limits are an essential part of the bargain between us and apply even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited under applicable law.

14. Indemnity

You will defend, indemnify and hold harmless Alertedly and its affiliates, officers, employees and contractors from and against all claims, liabilities, damages, losses, fines, costs and expenses (including reasonable legal fees) arising out of or relating to: your use of the Service or its output; your Inputs; any decision, investment, outreach or communication you make based on the Service; your breach of these Terms; or your violation of any law or third-party right. We may take control of the defense of any such claim at your expense, and you will cooperate with us. You may not settle any such claim without our prior written consent.

15. Governing law and disputes

Governing law. These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Try to resolve it first. Before starting arbitration or any other proceeding (other than for urgent relief), the party raising a dispute must send the other a written notice describing it, and both parties will try in good faith to resolve it. Notices to us go to contact@alertedly.com. If the dispute is not resolved within 60 days of the notice, either party may proceed.

Arbitration. Any dispute, claim or controversy arising out of or relating to these Terms or the Service, including about their validity, interpretation or scope, will be finally resolved by confidential, binding arbitration under the Arbitration Act, 1991 (Ontario) or, where it applies, the International Commercial Arbitration Act, 2017 (Ontario), before a single arbitrator. The seat of arbitration is Toronto, Ontario, the arbitration will be conducted in English under the arbitration rules of the ADR Institute of Canada, and judgment on the award may be entered in any competent court. The arbitrator decides all questions about the scope and enforceability of this arbitration agreement, may award relief only on an individual basis, and must keep the proceedings and award confidential. Each party bears its own legal fees unless the arbitrator finds a claim frivolous or brought for an improper purpose, except that you remain responsible for our costs of collecting unpaid fees as described in the section on fees. As exceptions, (a) either party may bring an individual claim within its jurisdiction in the Ontario Small Claims Court, and (b) Alertedly may bring proceedings in the courts of Ontario, or any other competent court, to collect unpaid fees or to obtain injunctive or other urgent relief to protect its intellectual property, confidential information or the Service. Any claim you bring in court, other than a defense or counterclaim in proceedings Alertedly brings, may be brought only in the courts located in Toronto, Ontario, which have exclusive jurisdiction over it, and you also submit to the jurisdiction of any court in which Alertedly brings proceedings under (b).

Individual claims only. To the extent permitted by law, claims may be brought only on an individual basis, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding or arbitration. Despite this, if 25 or more similar claims are brought against us by or with the help of the same law firm or coordinated group, Alertedly may elect to have them administered in batches, with one arbitrator and one set of fees per batch; each claim remains an individual claim and is decided individually.

Time limit. These Terms are a business agreement within the meaning of the Limitations Act, 2002 (Ontario). Any claim against Alertedly must be commenced within one year after the day on which it was discovered, or it is permanently barred.

If, despite the business-use requirement above, you are a consumer, nothing in these Terms removes rights you have under the mandatory consumer protection laws of the place where you live, and any provision that those laws do not permit will not apply to you.

16. Changes to these Terms

We may update these Terms from time to time. We will change the date at the top of this page and, for material changes, notify you by email or in the Service before they take effect. Continued use of the Service after changes take effect means you accept them. If you do not agree, you must stop using the Service and cancel.

17. General

These Terms, together with any order form or quote, are the entire agreement between us about the Service and replace any prior understanding. If an order form conflicts with these Terms, the order form governs for that order. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest remains in effect. You may not assign or transfer these Terms without our written consent; we may assign them freely, including to an affiliate or a successor of our business. Our failure to enforce a provision is not a waiver. We are not liable for any delay or failure caused by events beyond our reasonable control. Nothing in these Terms creates a partnership, agency or employment relationship, and no one other than you and Alertedly has rights under these Terms. Our rights and remedies are cumulative. "Including" means "including without limitation", and headings are for convenience only. The parties have requested that these Terms be written in English.

Notices and electronic communications. You consent to receive agreements, notices and other communications from us electronically, by email to your account address or in the Service, and these satisfy any legal requirement that they be in writing. Notices to us must be sent to contact@alertedly.com.
